The Role: Want to be a part of our exciting growth journey?
We are looking for a talented, commercially-savvy Senior Legal Counsel to join our team. You will play a critical role in navigating complex legal and regulatory landscapes during a pivotal growth phase (Series B heading into Series C), offering strategic guidance on transactional and corporate matters. This role will offer lots of variety, as you will get to work on matters across the business for a rapidly growing scale-up – customer contract negotiation, vendor procurement, ESOP management, corporate governance, and more.
You will lead legal efforts across capital raising, compliance, contracts, internal policy creation, and risk mitigation—often working autonomously in a fast-paced, decision-rich environment.
The ideal candidate will have deep legal expertise in finance and corporate law, a pragmatic and proactive approach, and the ability to work cross-functionally with minimal supervision.
Key Responsibilities
Lead legal workstreams for Series C capital raising, including managing and reviewing investor documentation and data room materials.
Draft, review, and negotiate a range of commercial contracts, including SaaS agreements, customer T&Cs, partnership agreements, and procurement terms.
Develop and implement internal legal documentation and corporate policies aligned with our scaling global footprint.
Provide legal oversight for international operations, including secondments, global compliance, and jurisdictional risks.
Ensure ongoing compliance with relevant regulatory and legal frameworks across regions (APAC, NA, EMEA).
Collaborate with cross-functional teams to evaluate and mitigate legal risks in business strategy and decision-making.
Review and support tax-related legal documentation in coordination with finance and external counsel.
Proactively identify and resolve complex transactional and commercial legal issues in a SaaS environment.
Job requirements
Who You Are: (include required qualifications, experience, education)
Bachelor of Laws (LLB) or equivalent legal qualification;
5+ years post-qualified experience in a top-tier or mid-tier law firm or in-house legal team with start-up experience
Strong focus on corporate governance, regulatory, finance, banking, corporate or commercial law.
Proven experience in capital raising, including Series A/B/C rounds, M&A, or other high-value transactional matters.
Exceptional contract negotiation and drafting skills in a fast-moving commercial setting.
Exposure to tax law and compliance, ideally within a SaaS or tech-driven business.
Prior international secondment or experience working across multiple jurisdictions a strong plus.
Able to operate with limited guidance, prioritise well, and deliver fast, pragmatic legal solutions.
Strong collaborator with an attitude embracing growth, hands-on execution, adaptability, and the scale-up spirit.
